Acquisitions of Business Unit

The facilities management business of a UK based multinational was acquired by another multi-national. ITAM Intelligence worked with both parties to manage the risks related to the novation or assignment of software contracts and licenses to ensure both companies were compliant with the terms and conditions of their software licenses throughout the IT Separation period.

What did we do?

We negotiated the buy-out and assignment of Microsoft Enterprise Agreement licenses; worked with the IT Separation team to ensure that Websense and other business critical software was in place on the day of sale; worked closely with vendors to negotiate support for the Transitional Services Agreement; and worked with the business to rationalise its software estate. We succeeded in supporting the implementation of the IT Separation Programme to schedule whilst maintaining compliance with the terms and conditions of software contracts and the Transitional Services Agreement.


Contract Novation – Multi-National Facilities Management Company

A multi-national Facilities Management and Construction business had acquired the Facilities Management subsidiary from another multi-national organisation. ITAM Intelligence worked with the acquiring party to negotiate a complex three-way contract novation for a business critical software-as-a-service Source-to-Pay and Contract Management application.

 

What did we do?

We negotiated a series of contracts to enable us to replace the parties that had agreed to the original contract on a specified date in the future and in the meantime supported the dual running of the system for both parties. We ensured that all stakeholders had clarity regarding the future management of the platform and that the separation and security of each party’s confidential data on the platform complied with competition requirements. We also secured a very competitive price while minimising the conditions under which the vendor consented to the contract novation.
